Welcome to AINSEN Distribution, LLC (“AINSEN,” “we,” “us,” or “our”). By accessing or using our website, services, or purchasing products from us, you agree to the following terms and conditions (“Terms”). 2. Orders and Acceptance
2.1 Order Submission and Acceptance
All orders are subject to acceptance by AINSEN. Receipt of an order confirmation does not constitute acceptance; we reserve the right to decline or cancel any order for any reason.
2.2 Entire Agreement
These Terms constitute the entire agreement between AINSEN and Buyer, superseding any prior agreements or communications. Any conflicting terms proposed by Buyer are expressly rejected unless agreed to in writing by AINSEN. 3. Shipping and Delivery
3.1 Shipping Terms
All shipments are made FOB Origin (North Hollywood, CA), and title and risk of loss pass to Buyer upon transfer to the carrier. Buyer is responsible for all shipping costs and insurance.
3.2 Delivery Delays
AINSEN is not liable for delays or failures due to factors beyond our control, including labor disputes, natural disasters, transportation disruptions, or supplier issues.
3.3 International Compliance
For international orders, Buyer is responsible for compliance with all import/export laws, securing necessary licenses, and ensuring adherence to all applicable regulations.
4. Returns and Warranty
4.1 Return Policy
- Unused Products: Returns of unopened, unused products in their original packaging are accepted within 30 days of purchase, subject to a restocking fee of 20%. Special order items are non-returnable.
- Defective Products: Defective products may be exchanged in accordance with the manufacturer’s warranty policies. Buyer must provide proof of purchase.
4.2 Limited Warranty
AINSEN assigns all manufacturer warranties to Buyer but provides no additional warranties for third-party products. Products are sold “as is” unless expressly stated otherwise.
5. Payment and Fees
5.1 Payment Terms
Payment is due at the time of purchase unless credit terms have been extended. All credit terms are subject to approval and may be revoked at AINSEN’s discretion.
5.2 Late Payments
Past due balances are subject to a late fee of 1.5% per month or the maximum rate allowed by law. Buyer is responsible for all collection costs, including legal fees.
5.3 Taxes
Prices do not include applicable taxes, which are the responsibility of the Buyer. Tax-exempt Buyers must provide valid exemption certificates.
6. User Conduct
6.1 Prohibited Activities
You may not:
- Violate any laws or regulations.
- Misrepresent your identity or provide false information.
- Use the Platform for fraudulent purposes.
- Interfere with the operation of the Platform.
6.2 Responsibility for Your Content
You are solely responsible for the accuracy and legality of any content you submit. AINSEN reserves the right to remove content that violates these Terms.
7. Intellectual Property
7.1 Ownership
All intellectual property rights, including trademarks, logos, and copyrighted materials, are the exclusive property of AINSEN. You may not use any of these without prior written consent.
7.2 Feedback
By submitting feedback or suggestions, you grant AINSEN a perpetual, irrevocable, and royalty-free license to use such feedback for any purpose.
8. Limitation of Liability
8.1 No Guarantee
AINSEN does not guarantee that products will prevent harm, damage, or injury. Our products are not a substitute for proper precautions or insurance.
8.2 Maximum Liability
Our maximum liability for any claims is limited to the purchase price of the product in question. AINSEN is not liable for indirect, incidental, or consequential damages, including lost profits or data.
9. Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict of laws principles.
9.2 Arbitration
Any disputes arising out of or related to these Terms shall be resolved through binding arbitration in Los Angeles, CA, in accordance with the rules of the American Arbitration Association.
9.3 Waiver of Class Actions
You agree to resolve disputes on an individual basis and waive the right to participate in class or collective actions.
